The products offered for sale on the site are described in a description that mentions their essential characteristics within the meaning of Article L. 111-1 of the Consumer Code. The present general terms and conditions of sale are applicable to all orders placed by the buyer. The acceptance of the offer by the buyer is validated by the confirmation of the order.
In case of unavailability of the ordered products, the seller will, as far as possible, inform the buyer in due time.
The price is due in full after confirmation of the order.
Payment is made immediately upon ordering by advanced check, bank transfer, Paypal or credit card via Stripe.
In the event of non-compliance by the purchaser with its commitments (unpaid or late payment), MSV reserves the right to suspend or cancel its deliveries, to reduce or cancel the payment terms.
MSV undertakes to dispatch the material as soon as possible after acceptance of the order. Delays in delivery do not give the buyer the right to cancel the sale or to refuse the goods. Furthermore, the seller is released from any commitment relating to the delivery time (e.g. strike, transport delay, delay in delivery by suppliers, in short all causes beyond its control).
The goods always travel at the risk of the recipient. It is the buyer's responsibility at the time of receipt to ensure the conformity of the packages (e.g. number of boxes), to carry out the necessary checks and to mention the reservations on the receipt, in order to be able to exercise a recourse against the carrier, if necessary. The buyer must confirm these reservations by registered letter, with acknowledgement of receipt, to the carrier within 48 hours of receipt (Art. 133-3 of the Commercial Code), with a copy sent to MSV. Failing this, no claim can be accepted by MSV. We recommend that the buyer takes the time to unpack the goods each time they arrive and to record the real reserves on the receipt in order to avoid any dispute.
H) Return of goods
No return of goods not validated and authorised by MSV will be accepted. The seller is not obliged to take back any equipment that is returned for a reason for which it is not responsible.
In the exceptional case where he accepts for material regularly held in stock by him, the return will be made at the invoice price minus 15% of the delivery postage, the costs of inspection, reconditioning and the costs of repairing if necessary. The return transport costs are always at the buyer's expense, and the seller does not accept any returns with postage due.
I) Reservation of ownership
The catalogue remains the property of MSV. Any reproduction, in whole or in part, is strictly forbidden under penalty of legal action.
In accordance with the law 80335 of 12/5/80, the property in favour of the buyer becomes effective only after full payment of the price by the latter. The transfer of responsibility takes place at the time of delivery, from this moment, the buyer becomes the guardian and responsible for the material, in particular in case of loss or deterioration. He must use them in accordance with the technical prescriptions and the use for which they are intended.
In the event of non-payment of the agreed price, or failure by the buyer to fulfil one of these obligations, the contract may be cancelled or terminated by operation of law, eight days after receipt by the buyer of a formal notice by registered letter with acknowledgement of receipt. In the event of the goods being reclaimed, the advance payments already made shall be retained by the seller as consideration for the use of the goods.
The goods sold are guaranteed for one year from the date of delivery against all hidden manufacturing defects. This guarantee does not apply in the case of damage caused by misuse.
Our liability is limited to the replacement of parts found to be defective. The guarantee does not extend to the time required to repair, transform or change the equipment. MSV will in no way be obliged to compensate for the damage caused by this defect, including, in particular, the unavailability of the equipment during the repair or replacement time.
K) Penalty clause
It is expressly agreed that failure to pay any invoice on the due date or failure by the buyer to fulfil any of its contractual obligations shall automatically, and without prior notice, result in all sums owed by the buyer to the seller becoming immediately payable.
All sales concluded by our company are subject to French law.
